1. Introduction

Welcome to Gemoniq. These Terms of Service ("Terms") govern your access to and use of the Gemoniq platform, website, and services (collectively, the "Service"), provided by Gemoniq AB ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Use of the Service

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2.2 Account Registration

To access certain features, you may be required to register for an account. You may register directly or via third-party services (such as Google); by doing so, you authorize us to access your account information from that service as permitted by its policies. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

2.3 Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Violate or encourage others to violate any right of a third party, including by infringing or misappropriating any third-party intellectual property right.
• Interfere with security-related features of the Service.
• Reverse engineer or attempt to extract the source code of the Service.

3. Third-Party Integrations & Requirements

3.1 Required Connections

The Service functionalities rely entirely on integration with third-party platforms. To use the Service, you are required to connect and maintain active, valid accounts with:

• Meta Ads (Facebook and Instagram)
• Google (including Google Ads where applicable)
• Google Analytics

Failure to connect or maintain these integrations will result in the inability to use the Service's core features. You acknowledge that the Service cannot function without these data sources.

3.2 Responsibility & Compliance

You acknowledge and agree that:

• You are solely responsible for complying with the terms of service, privacy policies, and community standards of these third-party platforms.
• The Service acts merely as a tool to access and analyze data from these platforms and does not control them.
• We are not responsible for any account bans, restrictions, changes to APIs, downtime, or data discrepancies caused by these third-party providers.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Gemoniq AB and its licensors. The Service is protected by copyright, trademark, and other laws of both Sweden and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Gemoniq AB.

You retain all rights to the data, content, and information you upload or submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.

5. Payment and Subscription

Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms as we may update them from time to time. All fees are non-refundable except as required by law.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL GEMONIQ AB, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
